1. Acceptance of Terms

By installing or using the Pro Transfers Builder Shopify App ("Service") provided by Formulated Apps ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Pro Transfers Builder creates and maintains a set of software tools, accessible via the Shopify App Store, designed to facilitate the creation, management, and printing of DTF (Direct to Film) gang sheets. By using our services, you acknowledge that Pro Transfers Builder is an independent third-party application and is not affiliated with, endorsed by, or sponsored by Shopify Inc.

3. Usage & License

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Service strictly in accordance with these Terms. You agree not to misuse the Service, reverse engineer, decompile, or attempt to derive the source code of the Service.

4. Customer Content & Intellectual Property

You retain all rights to any images, trademarks, and content uploaded by you or your customers through our Service ("User Content"). You grant us a limited license to process and temporarily store User Content solely for the purpose of operating the Service. You are solely responsible for ensuring that User Content does not infringe upon any third-party intellectual property rights. Formulated Apps claims no liability for copyright infringement claims regarding files uploaded by your end-users.

5. Fees and Payment

Pro Transfers Builder operates on a revenue-share model designed to scale with your business. We charge a 5% transaction fee on orders generated using our gang sheet builder, strictly capped at a maximum of $10.00 USD per order. The application is entirely free to install, and no recurring monthly subscription fees apply. Fees are automatically calculated and billed through the Shopify billing system. Prices and caps are subject to change with 30 days written notice.

6. Limitation of Liability

Pro Transfers Builder and its affiliates will not be liable for any damages of any kind arising from the use of the Service, including, but not limited to direct, indirect, incidental, punitive, and consequential damages. We do not guarantee that the quality of prints resulting from the gang sheets built using our tool will meet your specific expectations, as print quality depends on numerous factors including your printing hardware and substrate.

7. Service Availability

While we strive for 99.9% uptime, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice, due to critical bug fixes, infrastructure scaling, or circumstances beyond our control.

8. Intellectual Property

The software, visual interfaces, graphics, design, compilation, information, computer code, products, and all other elements of the Service are protected by copyright, trade dress, patent, and trademark laws. All such materials are the property of Formulated Apps. You may not sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the Service.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these terms shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association.
